Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") constitute a legally binding agreement between you ("Affiliate," "you," or "your") and TROK ("we," "us," or "our"). These terms govern your participation in the TROK Affiliate and Referral Program (the "Program").

By enrolling in the Program, generating referral links, or promoting TROK to earn commissions, you agree to comply with and be bound by these Affiliate Terms, together with our general Terms of Service and Privacy Policy.

1. Program Overview & Relationship

The TROK Affiliate Program enables registered creators and partners to earn recurring commissions by introducing new paying creators to the TROK platform using unique tracking referral links.

Platform Nature: TROK is an all-in-one SaaS platform and software infrastructure provider for creators. TROK is not a bank, financial intermediary, investment vehicle, or fiduciary. Participation in the Program creates an independent contractor relationship between you and TROK. Nothing in these Affiliate Terms establishes a joint venture, partnership, agency, franchise, or employment relationship.

2. Enrollment & Eligibility

Participation in the Program is completely voluntary. To be eligible to participate as an Affiliate:

• You must be at least 18 years of age (or the legal age of majority in your jurisdiction).
• You must maintain an active TROK account in good standing, free of fraudulent activity or policy violations.
• You must submit accurate identity, payout, and tax verification details when requested.
• You must comply with all applicable local, national, and international laws, including advertising and marketing guidelines.

TROK reserves the right, in its sole discretion, to approve, deny, or revoke any affiliate application or account at any time with or without cause.

3. Tracking, Links & Attribution

Referral Links: Once approved, you will receive unique affiliate tracking links and referral identifiers (e.g. https://trok.pro/?ref=yourname). You are solely responsible for ensuring your referral links are formatted properly.

Attribution Window:When a prospective user clicks your valid referral link, an attribution cookie is stored on their browser for up to thirty (30) days ("Cookie Window"). If the user registers a paid TROK account within this Cookie Window, that subscription is attributed to your affiliate account.

Attribution Rules:Attribution is granted based on the last valid affiliate link clicked prior to registration ("Last-Touch Attribution"). TROK is not liable for untracked referrals caused by ad blockers, cleared cookies, browser privacy settings, or altered URLs.

4. Commission Structure

Affiliates earn commissions exclusively on verified, successful, paid TROK SaaS platform subscriptions referred through their valid affiliate link.

• Recurring Commissions: Affiliates earn a recurring thirty percent (30%) commission on net recurring subscription fees paid by referred users for active TROK Pro or Studio tiers.
• Commission Duration: Commissions continue on a recurring basis for as long as the referred user maintains an active, paying, uninterrupted subscription in good standing.
• Cancellations & Refunds: Commissions immediately stop if a referred user cancels their subscription, downgrades to the free Starter tier, or defaults on payment. If a transaction is refunded, disputed, or charged back, any associated commission will be deducted or reversed from your affiliate balance.
• Excluded Items: Commissions do not apply to third-party payment processing fees (e.g. Stripe fees), taxes, custom enterprise contracts, or sales of digital goods sold by creators on their storefronts.

5. Commission & Program Changes

Right to Modify: TROK reserves the explicit right to modify, adjust, restructure, or update commission rates, eligibility criteria, tier incentives, or Program guidelines at any time.

Advance Notice: We will notify affiliates of any material changes to commission rates or structures via email or through the Creator Dashboard at least fourteen (14) days prior to the effective date of the change.

Prospective Application: Any modifications to commission rates or structures apply strictly on a prospective basis to future earnings generated after the effective date. Modifications will never retroactively reduce or alter commissions already earned, cleared, and approved in your account balance.

6. Payout Terms & Thresholds

Commissions are calculated and paid out according to the following schedule:

• Payout Schedule: Payouts are processed on a monthly basis on or before the 15th of each month on a net-30 schedule (commissions earned in January are paid out in mid-March, allowing time for subscription clearance and chargeback verification).
• Minimum Payout Threshold: The minimum payout threshold is twenty-five U.S. dollars ($25.00 USD). If your accrued approved balance is under $25, your earnings roll over to the subsequent payout cycle until the threshold is met.
• Payout Methods: Commissions are disbursed via approved payment channels designated by TROK, including Stripe Connect, PayPal, or direct bank transfer. You are responsible for any transaction fees or foreign exchange conversion fees levied by your receiving financial institution.
• Taxes: You are solely responsible for declaring and paying all applicable local, state, and federal taxes on affiliate income earned through TROK.
• Fraud & Verification Holds: TROK reserves the unilateral right to delay, withhold, or freeze payouts pending identity verification, suspicious traffic investigations, or review of unusually high cancellation or refund rates.

7. Fraud, Abuse & Prohibited Conduct

To protect our community and maintain platform integrity, TROK enforces a strict zero-tolerance policy against fraudulent, deceptive, or abusive promotional practices. You agree not to:

• Self-Referrals: You may not use your own affiliate link to purchase subscriptions for yourself, your alternate accounts, your immediate business entities, or co-owned accounts. Self-referrals will be automatically rejected.
• Fake or Automated Accounts: Generating synthetic signups, bots, fraudulent credit cards, or disposable accounts to trigger commissions is strictly prohibited.
• Deceptive Marketing: You must not make false, exaggerated, or misleading claims regarding TROK features, pricing, or earnings potential.
• Unauthorized Incentives: Offering unapproved cashbacks, kickbacks, or monetary incentives to prospective users in exchange for signing up through your link is prohibited.
• Spam & Unsolicited Communication: Distributing affiliate links through unsolicited mass email (SPAM), automated social media bots, public forum spam, or private message blasts is prohibited.
• Trademark & Brand Bidding: You may not bid on TROK trademarks, including "TROK," "TROK Creator," "trok.pro," or misspelled variations in paid search advertising (e.g. Google Ads, Bing Ads). Direct linking search ads to your referral URL is strictly forbidden.
• Domain Squatting: You may not register domain names or social media handles containing the TROK brand or confusingly similar trademarks.

8. Termination & Suspension Rights

Either party may terminate participation in the Program at any time, with or without cause, upon written notice.

Immediate Suspension by TROK: TROK reserves the right to suspend or terminate your affiliate access immediately, without prior notice, if we determine or reasonably suspect that you have violated these Affiliate Terms, our Terms of Service, or any applicable law.

Consequences of Breach: Upon termination for fraudulent, abusive, or prohibited conduct, all pending, accrued, and unpaid commissions attributable to such conduct shall be immediately forfeited. In non-breach voluntary terminations, all validly earned and cleared commissions exceeding the minimum threshold will be paid out during the next standard payout cycle.

9. Mandatory FTC & Regulatory Disclosures

In compliance with the Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising, and similar global consumer protection regulations:

• You must clearly and conspicuously disclose that you are receiving financial compensation or affiliate commissions when sharing your referral link.
• Disclosures must be prominent, visible near the referral link or call-to-action, and easily understandable (e.g., "Disclosure: If you sign up using my link, I may earn an affiliate commission at no extra cost to you" or using clear tags such as #ad, #affiliate).
• You must never portray your endorsement as an unbiased independent review without acknowledging your financial incentive.

10. Limitation of Liability

TROK WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF REVENUE, PROFITS, AUDIENCE, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE AFFILIATE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TROK MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE AFFILIATE PROGRAM, CONTINUOUS SERVICE AVAILABILITY, OR THE REVENUE YOU MAY GENERATE. IN NO EVENT SHALL TROK'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PROGRAM EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Program Modifications & Updates

We reserve the right to amend, update, or replace these Affiliate Terms at any time. Changes will be posted to this URL with an updated "Last Updated" date. Your continued promotion of your referral links or acceptance of commission payouts following any changes constitutes your binding acceptance of the revised Affiliate Terms.
